Welcome to Beastlab AI. These Terms and Conditions (“Terms”) govern your access to and use of the Beast models and any related APIs, tools, documentation, websites, and services (collectively, the “Services”) provided by Beastlab AI LLC, a Delaware limited liability company (“Beastlab AI,” “Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, company, or other entity, you represent and warrant that you have the legal authority to bind that entity to these Terms, and “you” and “your” will refer to that entity.

1. Definitions

“Beast Models” means the proprietary artificial intelligence models developed and offered by Beastlab AI through the Services.
“Input” means any data, text, images, files, prompts, or other content submitted by you or your end users to the Services.
“Output” means any content, data, text, images, code, or other results generated by the Services in response to Input.
“Customer Content” means Input and Output collectively.
“End Users” means individuals who access the Services through your application, product, or service.
“API” means the application programming interface(s) provided by Beastlab AI to access the Beast Models.
“Usage Data” means aggregated, de-identified technical and operational data relating to the use of the Services, such as system logs, performance metrics, model-usage statistics, and metadata, but excluding Customer Content.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding agreement to use the Services. The Services are not intended for use by minors under the age of 18.

2.2 Account Registration

To access the Services, you may need to create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials, including any API keys, and for all activities that occur under your account. You must notify us promptly at [email protected] if you suspect any unauthorized access to or use of your account.

2.3 API Keys

We may provide you with confidential API key(s) to access the Beast Models via our API. You must not share, publish, sell, or transfer your API keys to any third party without our prior written consent. Upon termination of your account, you must immediately cease using and delete all API keys.

3. Use of the Services

3.1 License Grant

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Services solely for your personal use or internal business purposes, or to integrate the Services into your own products and services for your End Users.

3.2 Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You will not, and will not permit any third party or End User to, use the Services to:

Generate, distribute, or facilitate content that is illegal, harmful, abusive, defamatory, obscene, hateful, discriminatory, or threatening.
Generate child sexual abuse material (CSAM) or any content that exploits or harms minors.
Engage in or facilitate fraud, phishing, scams, spam, or other deceptive practices.
Harass, stalk, intimidate, or threaten any individual or group.
Generate content that incites violence, terrorism, self-harm, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
Impersonate any person, entity, or organization, or misrepresent your affiliation with any person or entity.
Infringe, misappropriate, or violate any third party’s intellectual property rights, privacy rights, or other rights.
Generate non-consensual intimate imagery or deepfakes of real individuals.
Provide medical, legal, financial, or other professional advice without appropriate qualifications and disclosures, or where prohibited by law.
Represent that Output was human-generated when it was not, where such representation is misleading or prohibited by law.
Develop models, products, or services that compete with Beastlab AI using Output or any data derived from the Services.
Attempt to reverse engineer, decompile, disassemble, or otherwise discover the source code, algorithms, or underlying architecture of the Services or Beast Models, except to the extent such restrictions are prohibited by law.
Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Services.
Introduce viruses, malware, or other harmful code into the Services.
Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use of the Services.
Use the Services in violation of applicable trade laws, sanctions, or export control regulations.

3.3 End User Responsibility

If you make the Services available to End Users, you are responsible for ensuring that your End Users comply with these Terms. You will be liable for any breach of these Terms by your End Users.

3.4 Third-Party Models and Services

The Services may provide access to or interoperate with third-party models, APIs, or other services. Such third-party offerings are subject to their own terms and conditions. Beastlab AI is not responsible for third-party services, and you are solely responsible for compliance with any applicable third-party terms.

4. Customer Content and Intellectual Property

4.1 Ownership of Input

As between you and Beastlab AI, you retain all ownership rights in your Input. You represent and warrant that you have all rights, licenses, and permissions necessary to provide Input to the Services.

4.2 Ownership of Output

As between you and Beastlab AI, and to the extent permitted by applicable law, you own the Output generated by the Services in response to your Input. Beastlab AI assigns to you any rights it may have in such Output, subject to these Terms and applicable law.

4.3 Similarity of Output

Due to the nature of artificial intelligence, Output may not be unique. Other users may receive the same or similar Output from the Services. Our assignment of Output rights does not extend to Output generated for other users.

4.4 License to Beastlab AI

You grant Beastlab AI a limited, worldwide, non-exclusive, royalty-free license to use, host, copy, and process Customer Content solely as necessary to: (a) provide, maintain, and operate the Services; (b) comply with applicable law; (c) enforce these Terms; and (d) ensure the safety and security of the Services. This license does not include any right to use Customer Content for model training purposes.

4.5 No Training on Customer Content

Beastlab AI does not use Customer Content (including Input and Output) to train, fine-tune, or improve its artificial intelligence models. Customer Content will not be used for any machine learning training or development purposes, for any plan or tier of the Services.

4.6 Beastlab AI Intellectual Property

Beastlab AI and its licensors own all rights, title, and interest in and to the Services, including all related software, algorithms, models, technology, documentation, trademarks, logos, and other intellectual property (collectively, “Beastlab AI IP”). These Terms do not grant you any rights to Beastlab AI IP except for the limited license expressly provided in Section 3.1.

4.7 Feedback

If you provide feedback, suggestions, or recommendations regarding the Services (“Feedback”), you grant us a perpetual, worldwide, irrevocable, royalty-free license to use such Feedback without restriction or obligation to you. Feedback does not constitute Customer Content.

5. Data Privacy and Retention

5.1 Privacy Policy

We process personal data in accordance with our Privacy Policy, available at Privacy Policy. Our Privacy Policy explains how we collect, use, store, and protect personal information and is incorporated into these Terms by reference.

5.2 Data Retention

Beastlab AI retains Customer Content (Input and Output) for a maximum of fifty-five (55) days from the date of submission or generation, solely for the purposes of: (a) providing, operating, and delivering the Services; (b) detecting and preventing abuse, fraud, and violations of these Terms; (c) ensuring the safety, security, and integrity of the Services; (d) debugging and resolving technical issues; and (e) complying with applicable legal obligations. After the fifty-five (55) day retention period, Customer Content will be permanently deleted from our active systems, subject to any longer retention that is strictly required by law. Residual copies in automated backup systems may persist for a limited additional period but will remain subject to these data handling obligations and will be deleted in accordance with our standard backup rotation schedule.

5.3 Data Processing

If you use the Services to process personal data on behalf of your organization or End Users, you must: (a) provide legally adequate privacy notices and obtain all necessary consents; (b) process personal data in accordance with all applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable; and (c) execute our Data Processing Agreement (DPA), available upon request at [email protected].

5.4 International Data Transfers

Customer Content may be processed in the United States or in other jurisdictions where Beastlab AI or its service providers maintain facilities. By using the Services, you consent to such transfers, which will be conducted in compliance with applicable data protection laws, including through the use of Standard Contractual Clauses (SCCs) or comparable transfer mechanisms where required.

5.5 Security

Beastlab AI maintains commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Content against unauthorized access, disclosure, alteration, or destruction, consistent with industry practices for AI and cloud service providers. However, no method of transmission over the Internet or electronic storage is completely secure, and Beastlab AI cannot guarantee absolute security.

6. Fees and Payment

6.1 Pricing

Certain features of the Services may be provided free of charge, while others require payment. Applicable fees (“Fees”) are set forth on our pricing page at https://www.beastlab.ai/pricing or as otherwise agreed in writing between you and Beastlab AI. We may modify Fees with at least thirty (30) days’ prior notice.

6.2 Payment Terms

You agree to provide complete and accurate billing information and a valid payment method. Fees are charged at the end of each billing period based on your usage, unless otherwise specified. You authorize Beastlab AI and its payment processor(s) to charge your payment method for all applicable Fees and taxes.

6.3 Taxes

All Fees are exclusive of applicable taxes, duties, levies, and similar governmental assessments (“Taxes”). You are responsible for all applicable Taxes arising from your use of the Services, excluding taxes based on Beastlab AI’s net income.

6.4 Late Payments

Failure to pay Fees when due may result in suspension or termination of your access to the Services. We may charge interest on overdue amounts at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower.

6.5 Refunds

Except as required by applicable law or expressly stated otherwise, all Fees are non-refundable once paid.

7. Confidentiality

7.1 Confidential Information

Each party may disclose information to the other that is identified as confidential or that a reasonable person would understand to be confidential (“Confidential Information”). Customer Content is your Confidential Information.

7.2 Obligations

The receiving party may use the disclosing party’s Confidential Information only to exercise its rights and perform its obligations under these Terms. The receiving party will protect the disclosing party’s Confidential Information from unauthorized use, access, or disclosure using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care.

7.3 Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully known to the receiving party before disclosure; (c) is received from a third party without restriction; or (d) is independently developed without reference to the disclosing party’s Confidential Information.

8. Warranties and Disclaimers

8.1 Mutual Warranties

Each party represents and warrants that: (a) it has the authority to enter into these Terms; and (b) its performance of these Terms will not violate any applicable law or regulation.

8.2 Your Warranties

You represent and warrant that: (a) you have all rights, licenses, and permissions required to provide Input to the Services; and (b) your use of the Services and Output will comply with all applicable laws and these Terms.

8.3 Output Accuracy

The Services utilize artificial intelligence and large language models, which are probabilistic in nature. Output may be inaccurate, incomplete, or misleading, and may not reflect current facts or legal standards. You must not rely on Output as a sole source of truth, factual information, or as a substitute for professional advice. You are responsible for evaluating Output for accuracy and appropriateness for your use case, including using human review where appropriate.

8.4 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEASTLAB AI AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND QUIET ENJOYMENT. BEASTLAB AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

9.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BEASTLAB AI, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF BEASTLAB AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEASTLAB AI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO BEASTLAB AI FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

9.3 Applicability

THE LIMITATIONS IN THIS SECTION 9 APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE REMEDIES SET FORTH HEREIN FAIL OF THEIR ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

10.1 Indemnification by You

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Beastlab AI and its affiliates, officers, directors, employees, agents, and licensors (“Beastlab AI Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Services; (b) your Input or other Customer Content; (c) your breach of these Terms; (d) your violation of applicable law or the rights of any third party; or (e) any products or services you make available using the Services (“Your Offerings”).

10.2 Indemnification Procedure

Your indemnification obligations under this Section 10 are conditioned on Beastlab AI: (a) providing you with prompt written notice of any claim for which indemnification is sought (except that failure to provide prompt notice will only relieve you of your obligations to the extent you are materially prejudiced); (b) granting you sole control over the defense and settlement of the claim (provided that Beastlab AI may participate in its own defense at its own expense); and (c) providing you with reasonable cooperation and assistance, at your expense.

10.3 Additional IP Protections by Separate Agreement

Any indemnification or other contractual protections in favor of you for third-party intellectual property claims arising from the Services or Outputs (such as a “copyright shield” or provider IP indemnity) will apply only if and to the extent set out in a separate written agreement signed by Beastlab AI and you. Such protections are not provided under these standard Terms and may be negotiated for certain enterprise or commercial customers.

11. Term and Termination

11.1 Term

These Terms commence on the date you first access or use the Services and continue until terminated by either party in accordance with this Section 11.

11.2 Termination by You

You may terminate these Terms at any time by discontinuing your use of the Services and closing your account, provided you have paid all outstanding Fees.

11.3 Suspension or Termination by Beastlab AI

We may suspend or terminate your access to the Services and/or your account, with or without notice, if: (a) you breach these Terms or any of our policies; (b) we are required to do so by law or court order; (c) your use of the Services poses a risk of harm to Beastlab AI, other users, or any third party; or (d) your account has been inactive for more than twelve (12) months and you do not have a paid subscription.

11.4 Effect of Termination

Upon termination of these Terms: (a) all licenses granted to you under these Terms will immediately cease; (b) you must immediately stop using the Services and delete any API keys; and (c) you must pay all outstanding Fees. Sections that by their nature should survive termination will survive, including Sections 4, 5, 7, 8, 9, 10, 12, and 13.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve any dispute informally for at least sixty (60) days. We will attempt to resolve the dispute by contacting you via the email address associated with your account.

12.2 Arbitration

If a dispute cannot be resolved informally within sixty (60) days, it will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator in San Francisco, California, and the language of the arbitration will be English.

12.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BEASTLAB AI EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND BEASTLAB AI EACH WAIVE ANY RIGHT TO A JURY TRIAL.

12.4 Exceptions

This Section 12 does not apply to: (a) individual claims brought in small claims court; or (b) claims seeking injunctive or other equitable relief to protect a party’s intellectual property rights.

13. General Provisions

13.1 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 12, the federal and state courts located in Wilmington, Delaware will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

13.2 Changes to These Terms

We may update these Terms from time to time. We will provide at least thirty (30) days’ notice of material changes via email or an in-product notification. All other changes are effective upon posting to our website. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

13.3 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate, subsidiary, or successor in interest. Any attempted assignment in violation of this Section 13.3 is void.

13.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

13.5 Entire Agreement

These Terms, together with our Privacy Policy, any applicable DPA, and any written order forms or separate agreements executed between you and Beastlab AI, constitute the entire agreement between you and Beastlab AI regarding the Services and supersede all prior agreements, understandings, and communications, whether oral or written, regarding the subject matter.

13.6 Waiver

The failure of either party to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

13.7 Force Majeure

Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, acts of war or terrorism, riots, labor disputes, pandemics, governmental actions, internet or telecommunications failures, or cyberattacks.

13.8 Trade Controls

You must comply with all applicable export control, sanctions, and trade laws in connection with your use of the Services. The Services may not be used in or for the benefit of any U.S. embargoed country or territory, or by any person or entity subject to applicable sanctions.

13.9 Independent Contractors

The relationship between you and Beastlab AI is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

13.10 No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights, except as expressly stated herein.

13.11 Notices

Notices to you will be sent to the email address associated with your account.

13.12 Electronic Communications

By using the Services, you consent to receiving electronic communications from us, including via email, in-product notifications, or postings on our website. You agree that all electronic communications satisfy any legal requirements that such communications be in writing.

14. Copyright and Intellectual Property Complaints

If you believe that any content available through the Services infringes your intellectual property rights, please send a notice to:

Your notice must include:

A physical or electronic signature of the person authorized to act on behalf of the intellectual property owner;
A description of the copyrighted work or other intellectual property that you claim has been infringed;
A description of where the allegedly infringing material is located within the Services;
Your contact information (address, telephone number, and email address);
A statement that you have a good-faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or the law; and
A statement, made under penalty of perjury, that the above information is accurate and that you are the intellectual property owner or authorized to act on the owner’s behalf.

We may terminate the accounts of repeat infringers in appropriate circumstances.
